Your use of Web-Innovators.com’s products and services and web sites (excluding any services provided to you by Web-Innovators.com under a separate written agreement) are subject to the terms of a legal agreement between you and Web-Innovators.com. “Web-Innovators.com” is a trademark of UpTechnologies Inc., whose principal location of business is in the Philippines. This content explains how the agreement is made up, and sets out some of the terms of that agreement.
    2. Unless otherwise agreed in writing with Web-Innovators.com, your agreement with Web-Innovators.com will always include, at a minimum, the terms and conditions set out in this document. These are referred to below as the “Terms”.
    3. Your agreement with Web-Innovators.com will also include the terms of any Legal Notices applicable to the Products and Services, in addition to the Terms.
    4. The Terms form a legally binding agreement between you and Web-Innovators.com in relation to your use of the Products and Services. It is important that you take the time to read them carefully.
  1. ACCEPTING THE TERMS
    1. In order to use the Products and Services, you must first agree to the Terms. You may not use the Products and Services if you do not accept the Terms.
    2. You can accept the Terms by: (i) clicking to accept or agree to the Terms, where this option is made available to you by Web-innovators.com in the user interface for any Products and Service; or (ii) by actually using the Products and Services. In this case, you understand and agree that Web-innovators.com will treat your use of the Products and Services as acceptance of the Terms from that point onwards.
  1. LANGUAGE OF TERMS
    1. Where Web-innovators.com has provided you with a translation of the English language version of the Terms, then you agree that the translation is provided for your convenience only and that the English language version of the Terms will govern your relationship with Web-innovators.com.

    1. The use of this website and Web-Innovators.com’s online facilities are subject to the following terms and conditions and all applicable laws; by accessing and browsing this website, you accept, without limitation or qualification, these terms and conditions. If you do not agree with any of the terms, please do not use the website.
    2. Your use and browsing of the website and Web-Innovators.com’s online facilities are at your own risk. Neither Web-Innovators.com nor any other party involved in creating, producing, or delivering the website and Web-Innovators.com’s online facilities, are liable for any direct, incidental, consequential, indirect, or punitive damages arising out of your access to, or use of, the website and Web-Innovators.com’s online facilities.     3. Damage to Others. You agree not to introduce to or through this website any information or materials which may be harmful to others. Among other things, you agree not to include, knowingly or otherwise, any error or defect in materials or information which may, among other things, be a libel, slander, defamation or obscenity, or promote hatred or otherwise give rise to a criminal offence or civil liability on the part of any person or entity. In any case, you will indemnify and hold Web-Innovators.com harmless against any and all liabilities and/or damages arising out of third party claims attributable to your negligence in said inclusion or introduction as the case may be.
  1. USE OF PRODUCTS AND SERVICES, PROCEDURES AND PAYMENTS
    1. Dedicated Staffing (Free Trial). To qualify for the FREE trial for a dedicated staff, you are required to submit your contact and project details for initial review by our Sales or Account Representative and Project Managers. We prefer your own domain registered email address as your official email address; any free web-based emails such as Hotmail, Yahoo and Gmail will be subjected under further evaluation by our Management for acceptance. Web-Innovators.com will send you the scheduled deployment date of your dedicated worker(s) after careful evaluation and you are found eligible for the promo. It takes a maximum of 30-days to process your request but it may be lesser depending on the availability and complexity of the project. Failure to initiate contact within two (2) consecutive days during the allotted promo period will result to immediate cancellation of the trial service. The free trial period shall be for a maximum of three (3) days only.
    2. Project Managers. Web-Innovators.com will provide you a Project Manager (PM) to supervise your staff(s) and make sure that your tasks will be completed. You agree that you only directly communicate with your PM via ICQ, MSN AIM, or Email, or via other means subject to prior written approval by Web-Innovators.com, thus you are required installing any of the said programs for easy correspondence. Unless otherwise permitted beforehand by Web-Innovators.com in writing and subject to applicable terms and conditions, no direct communication with staff is allowed, but instead, the PM who is very experienced in the same field will inform you with regular progress of the project(s). The PM is required to be online during the entire working schedule to address your needs.
    3. Dedicated Staff. The employee is guaranteed 100% dedicated to you. He reports 8 hrs daily, 5 days/week (equivalent to a total of 160 hrs in a month). The staff is required to submit a daily report of his activity directly to his Project Manager for performance checking purposes.
    4. Development Server. For your convenience and for the protection of your Server, Web-Innovators.com will allot you a space in its Development Server to where all projects and files will be hosted during the development or conception period of your Project(s) or Task(s). Your projects and files will be uploaded to your server upon approval by you and our Project Manager.
    5. Disk Storage. Web-Innovators.com reserves the right to delete and maintain the limit of storage folder of each staff to approximately 10GB on both workstation and file server. As part of providing you secure maintenance of data, all Project Supervisors are required to perform weekly back-up on your staff’s workstation to a file server. In the event of accidental deletions or hardware failure, Web-Innovators.com will not be held liable in any way. We therefore highly recommend that you provide the Project Manager a FTP access to your server for regular uploads. If you decide to cancel your account, Web-Innovators.com reserves the right to delete all files on the local workstation and file server after the last day of service.
    6. Project Delivery. The completed projects or tasks will be emailed to you or published to the client’s server upon approval and agreed upon by your Project Manager. The client agrees to grant Web-Innovators.com relevant access to the client's account via FTP, SSH or Web Administration facility for uploading and completing your assigned task(s) or project(s).
    7. Payments. Payments can me made using Wire/Bank transfer, or Paypal. Contact the Sales or Account Representative assigned to you for the details of the payment methods. Payments must be made promptly as indicated in the Invoice sent and must be in US$ currency. If we do not receive your payment on-time otherwise an interest rate of 0.2% per day will be charged until the payment is credited on our side; or in extreme cases your account may be suspended or terminated without prior notice. Web-Innovators.com reserves the right to remove any web design, program or project from viewing on the Internet until final and full payment is made.
    8. For Wire Transfer Payments. For our mutual protection, payment should be verified by emailing or by sending us a fax (fax number: +63 2 7292424) copy of the transfer sheet from the bank.
  1. PRIVACY, PERSONAL AND OTHER INFORMATION
    1. For information about Web-Innovators.com’s data protection practices, please read Web-Innovators.com’s privacy policy. This policy explains how Web-Innovators.com treats your personal information, and protects your privacy, when you use the Products and Services.
    2. You agree to the use of your data in accordance with Web-Innovators.com’s privacy policies.
    3. You warrant that all information disclosed to Web-Innovators.com under these Terms of Services are legally obtained and that you have the right to make use and disclose them to Web-Innovators.com. In any case, you shall hold Web-Innovators.com harmless and free from any liability or damage arising from such disclosure from claims and actions by third parties as well as by any government.
  1. PROPRIETARY RIGHTS
    1. acknowledge and agree that Web-Innovators.com (or Web-Innovators.com’s licensors) own all legal right, title and interest in and to its Products, information, ideas, processes, concepts, algorithms and technologies used to provide the contracted Services under these Terms of Services, (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Products and Services may contain information which is designated confidential by Web-Innovators.com and that you shall not disclose such information without Web-Innovators.com’s prior written consent.

      All legal right, title and interest in and to non-public information, ideas, algorithms, concepts and other intellectual properties which you have created or improved through the Services provided by Web-Innovators.com and categorized as such beforehand shall be in your favor.
    2. Unless you have agreed otherwise in writing with Web-Innovators.com, nothing in the Terms gives you a right to use any of Web-Innovators.com’s trade names, trade marks, service marks, logos, domain names, and other distinctive brand features.
    3. If you have been given an explicit right to use any of these brand features in a separate written agreement with Web-Innovators.com, then you agree that your use of such features shall be in compliance with that agreement, any applicable provisions of the Terms, and Web-Innovators.com 's brand feature use guidelines as updated from time to time.
    4. Unless you have been expressly authorized to do so in writing by Web-Innovators.com, you agree that in using the Products and Services, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos.
  1. ENDING YOUR RELATIONSHIP WITH WEB-INNOVATORS.COM
    1. You may cancel your account at any time, with proper notification, preferably a week before the next due date. Proper notification includes direct contact with your Sales or Account Representative or the Project Manager, written notification, or e-mailed notification addressed to sales@Web-Innovators.com.
    2. Failure to pay does not constitute proper notification, and you will be responsible for all fees accrued to your account until proper notification is received.
    3. Web-Innovators.com reserves the right to cancel this service and reimburse you with any unused fees (where appropriate) on a pro-rata basis. If your service is cancelled for misuse according to the Terms, Web-Innovators.com reserves the right to apply additional fees and/or administrative costs incurred to your account prior to reimbursement. Please allow 4-6 weeks for reimbursement payment.
  1. EXCLUSION OF WARRANTIES
    1. WE MAKE NO REPRESENTATION OR WARRANTY REGARDING THE FUNCTIONALITY OR CONDITION OF THIS WEBSITE, ITS SUITABILITY FOR USE, OR THAT ITS USE WILL BE UNINTERRUPTED OR ERROR-FREE. ALL MATERIAL OR INFORMATION ON THIS WEBSITE IS PROVIDED TO YOU AS IS WITHOUT WARRANTIES OF ANY KIND.     1. SUBJECT TO OVERALL PROVISION IN SECTION 9 ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT WEB-INNOVATORS.COM, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE TO YOU FOR:
      1. ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS;
      2. ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF: (i) ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE SERVICES; (ii) ANY CHANGES WHICH WEB-INNOVATORS.COM MAY MAKE TO THE SERVICES OR PRODUCTS, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES AND PRODUCTS (OR ANY FEATURES WITHIN); (iii) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE SERVICES OR PRODUCTS;
    2. LIMITATIONS ON WEB-INNOVATOR.COM’S LIABILITY TO YOU IN SECTION 10 ABOVE SHALL APPLY WHETHER OR NOT WEB-INNOVATOR.COM HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.

You and Web-innovators.com agree to submit to the exclusive jurisdiction of the courts located within the county of Philippines to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that Web-innovators.com shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
